SEC report filings deadline extended

TARLAKENYO (April 27, 2026) — The Securities and Exchange Commission (SEC) has pushed back the filing dates for annual financial statements and related reports, providing much-needed breathing room for corporations.

Domestic and foreign corporations with fiscal years ending December 31, 2025, now have until June 15 to file their financial statements, moving the original May 29 cutoff. This extension applies to all corporate entities, including branch offices and regional headquarters, as well as those under the jurisdiction of SEC Extension Offices.

Specific deadlines have also been adjusted for other market participants. For brokers and dealers, the submission of SEC Form 52-AR is now due on May 15 instead of April 30. Additionally, issuers listed on the Philippine Stock Exchange and other public companies covered by the Securities Regulation Code have until May 15 to submit their annual reports via SEC Form 17-A.

This adjustment follows a move by the Bureau of Internal Revenue to extend the submission of 2025 Annual Income Tax Returns to May 15. Since the SEC requires financial statements to be stamped “received” by the BIR before submission, the agency opted to align its calendar.
